1. Acceptance of Terms and Conditions

By accessing, using, or registering for the Allce eSIM service (the “Service”), you
acknowledge and agree to be bound by these Terms and Conditions of Service (the
“Terms”). These Terms constitute a legally binding agreement between you and ALLCER
INOVACION TECNOLOGIA, S.A. de C.V. (“Allce”). If you do not agree to these Terms,
please do not use the Service.

2. Service Description

Allce provides a cutting-edge, virtual SIM (eSIM) service that empowers users to
seamlessly connect to cellular networks in Mexico. This innovative solution eliminates the
need for physical SIM cards, enabling users to effortlessly activate a new phone line
directly on their compatible devices. With Allce, users can make and receive calls, send
and receive text messages, and access high-speed mobile data while traveling or residing
in Mexico.
SIM cards for sale and use exclusively in Mexico by ALLCER INOVACION TECNOLOGIA,
S.A. de C.V.  and subject to applicable terms and conditions in the United Mexican States.

3. Eligibility and Account Creation

To utilize the Allce eSIM service, you must:
 Be at least 18 years of age;
 Possess a compatible device that supports eSIM technology; it is
recommended that users check the device compatibility guide of your
device’s manufacturer or refer to Allce’s compatibility guidelines for the most
accurate information before purchasing the service.
 Provide accurate and truthful information during the registration process;
 Maintain a valid credit or debit card for payment purposes; and
 Be a legal resident of the United States of America.
To create an Allce account, you will be required to provide certain personal information,
including but not limited to your name, email address, and billing information. You are
solely responsible for maintaining the confidentiality of your account credentials and for all
activities that occur under your account.

4. Service Activation and Usage

 Activation Process: To activate your Allce eSIM, you will need to follow the
straightforward instructions provided by Allce. This may involve
downloading the Allce app, entering the required information, and
completing the necessary verification steps. This includes downloading the
eSIM profile, configuring it on the compatible device, and scanning the QR
code, which is single-use and personal, providing greater precision about its
application.
 Device Compatibility: Allce eSIM service is compatible with a wide range of
devices. However, it is crucial to ensure that your device is eSIM-enabled
and supports the specific profiles and configurations required by Allce.
Please consult your device’s manufacturer or refer to Allce’s compatibility
guidelines for the most accurate information.
 Data Usage and Roaming: Data usage will be deducted from your
purchased plan. Please be mindful of your data consumption to avoid
additional charges. While the Allce eSIM is primarily designed for use in
Mexico, it may support limited roaming in certain regions. Roaming charges
may apply, and it is advisable to review your specific plan details for more

5. Payment and Billing

 Payment Methods: Allce accepts various payment methods, including major
credit and debit cards.
 Billing Cycles and Charges: You will be billed for the selected plan and any
additional charges incurred during your usage. Billing cycles may vary, and
you will be notified in advance of any changes to your billing schedule.
 Taxes and Fees: Applicable taxes and fees will be added to your bill.
 Cancellation and Refund Policy: In case of deactivation or device change,
the User may request a new QR code for an additional fee.

6. Service Limitations and Disclaimers

Network Coverage and Performance: The quality of service may vary
depending on network coverage and conditions in specific areas. Allce
strives to provide a reliable service, but interruptions or limitations may occur
due to factors beyond our control.
Emergency Services: While the Allce eSIM can be used to make emergency
calls, it is strongly recommended to have a local SIM card or other means of
communication as a backup in case of emergencies.

Device Compatibility and Software Updates: Allce is not responsible for
any compatibility issues or performance limitations arising from device-
specific factors or software updates. It is essential to ensure that your
device’s software is up-to-date and compatible with the latest Allce eSIM
profiles.
Service Limitations: To protect your account, it is recommended to
enable security measures such as strong passwords and two-factor
authentication.

7. Technical Support

Allce provides technical support to assist you with any issues or questions related to the
Service. You can contact our support team through various channels, including email,
phone, or online chat. Our support team will strive to provide timely and effective
assistance.

8. Termination of Service

Allce reserves the right to terminate your service, with or without prior notice, for any
reason, including but not limited to:
Violation of these Terms and Conditions;
Non-payment of fees;
Suspicious or fraudulent activity;
Technical difficulties;
Changes in service offerings;
Legal or regulatory requirements.

9. Limitation of Liability

To the maximum extent permitted by law, Allce shall not be liable for any direct, indirect,
incidental, consequential, or punitive damages arising out of or in connection with your
use of the Service.

10. Modifications to Terms and Conditions

Allce reserves the right to modify these Terms and Conditions at any time. Any changes
will be effective immediately upon posting on the Allce website or app. You are
responsible for reviewing these Terms and Conditions periodically for updates.

11. Governing Law and Dispute Resolution

These Terms and Conditions shall be governed by and construed in accordance with
the laws of Mexico City, Mexico. Any disputes arising out of or in connection with these
Terms shall be resolved through binding arbitration in Mexico City, Mexico, according to
the rules of the Commerce Code.

12.  Class Action Waiver

Neither Allce nor you will be entitled to join or consolidate disputes by or against others as
a representative or member of a class, to obtain relief in any arbitration in the interests of
the general public, or to act as a private attorney general. If any term of this arbitration
agreement is found to be illegal or unenforceable, then such provision shall be severed
from the arbitration agreement, but the rest of the agreement shall remain enforceable and
in full effect. Allce or you each can exercise any lawful rights or use other available
remedies to: (i) preserve or obtain possession of property, (ii) exercise self-help remedies,
including setoff rights, or (iii) obtain injunctive relief (including public injunctive relief),
attachment, garnishment, or appointment of a receiver by a court of competent jurisdiction.
The substance of any disputes where public injunctive relief is available shall be decided
by the arbitrator. Only if the claimant succeeds on its claim permitting the remedy of a
public injunction may such claimant request that a court of competent jurisdiction enter an
injunction in conformity with the arbitral award.

13. Intellectual Property

All intellectual property rights, including but not limited to trademarks, copyrights, and
patents, associated with the Allce eSIM service, the Allce app, and the Allce website are
the exclusive property of Allce or its licensors. You agree not to use, reproduce, distribute,
or modify any of Allce’s intellectual property without prior written consent.
14. Data Privacy and Security
Allce is committed to protecting your personal information. We have implemented
appropriate security measures to safeguard your data in accordance with applicable law,
including the Ley Federal de Protección de Datos Personales en Posesión de los
Particulares. However, please be aware that no method of transmission over the internet
or electronic storage is completely secure.

15. Force Majeure

Allce shall not be liable for any delay or failure to perform its obligations under these
Terms and Conditions due to circumstances beyond its reasonable control, such as natural
disasters, acts of God, war, terrorism, civil unrest, labor disputes, or government actions.

16. Severability

If any provision of these Terms and Conditions is deemed invalid, illegal, or unenforceable,
the validity, legality, and enforceability of the remaining provisions shall not be affected.

17. Entire Agreement

These Terms and Conditions constitute the entire agreement between you and Allce
regarding the use of the Service and supersede all prior or contemporaneous
communications, representations, or agreements, whether oral or written.
